These Terms constitute an agreement between you and the IT vendor you represent on one hand (collectively, “you”) and BSAM on the other. These Terms govern your access to and use of this Site.
Please click here to read BSAM’s Privacy Policy, which is hereby incorporated into and made a part of these Terms. The Privacy Policy explains how BSAM collects, uses and discloses your personal information. By accessing and using the Site, you consent to BSAM’s actions with respect to your personal information in compliance with the Privacy Policy.
2. Changes to These Terms.
BSAM reserves the right to modify these Terms at any time, at its sole discretion. If BSAM decides to change the Terms, BSAM will post the date of the last revision at the top of these Terms and will post the modified Terms on the Site. Changes to the Terms become effective as of the time they are posted to the Site. We encourage you to visit this section of the Site regularly in order to remain informed of any changes. The modified version of the Terms will apply to all access and use of the Site thereafter. By continuing to access and use the Site once the modified Terms are posted, you indicate your assent to the modifications and your agreement to be bound by the Terms as modified.
3. Access to Site and Account Security.
Availability. This Site and all of its content is offered solely for the commercial purpose of enabling the IT vendor you represent to express interest in doing business with BSAM. The Site’s availability depends on many factors, including some that are beyond BSAM’s control, such as your connection to the Internet, and the Internet backbone. From time to time, BSAM may restrict access to some parts of the Site, or the entire Site, to users. BSAM shall not be liable to you if you cannot use this Site or any part of it for any reason.
Minimum Age. You represent and warrant that you are 18 years of age or older and have the ability to enter into this Agreement.
Obligations. If you choose or receive a user name, password, or similar information as part of BSAM’s security procedures, you shall treat such information as confidential, and shall not disclose it to any other person. You acknowledge that your account is personal to you. You should use particular caution when accessing your account from a public or shared computer. BSAM has the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time if, in our opinion, you have violated any provision of these Terms. You are responsible for making arrangements necessary to have access to the Site and ensuring that all persons who access the Site through your internet connection are aware of these Terms and comply with them.
Restrictions. You must use this Site only in accordance with the Terms and only for lawful purposes. 4. PERMISSIONS; RESTRICTIONS.
Permission. You may access and use this Site only for displaying this Site on your Internet browser for the purpose of allowing you to send the contact information for the IT vendor you represent to BSAM to solicit business from BSAM. In the course of doing so, you may temporarily store copies of the Site materials in RAM incidental to your accessing and viewing those materials, and you may store files that are automatically cached by your web browser for display enhancement purposes.
Restrictions. Except as permitted above, you shall not copy, reproduce, distribute, display, modify, perform, republish, download, store, transmit, sell, lease, transmit or create derivative works from this Site (in whole or in part) or translate, modify, reverse engineer, disassemble, or decompile this Site. You shall not remove any copyright, trademark, or other intellectual property notices from the materials on the Site. If you use or provide any other person with access to the Site or material from the Site in breach of these Terms, your right to use the Site will cease immediately and you must, at BSAM’s option, return or destroy any copies of the materials you have made. No right, title or interest in or to the Site or any content on the Site is transferred to you, and BSAM reserves all rights not expressly granted reserved. 5. SUBMISSIONS AND USE OF THE SITE.

By submitting any information or materials to or through the Site, you grant BSAM and its affiliates the non-exclusive, royalty-free, fully paid up, worldwide, transferable, sublicenseable, assignable, perpetual, irrevocable right and license to use, reproduce, publicly display, publicly perform, digitally perform, distribute, create derivative works based on, adapt (including without limitation to edit, modify, translate, and reformat), transmit, make, have made, sell, offer for sale, and import such materials or incorporate such materials into any form now known or later developed, for any purpose whatsoever, commercial or otherwise, without compensation to you or any other provider of the submissions.
